Trade Terms & Conditions (Wholesale / B2B)

These terms apply to trade and wholesale customers purchasing for resale. They differ from our consumer terms, as business-to-business sales are not covered by consumer protection legislation.

Trade accounts

Wholesale purchases require an approved trade account. We reserve the right to request business details, including company registration and VAT number, before approving an account.

Minimum orders and pricing

Trade orders are subject to our current minimum order quantity and trade price list, provided separately. Trade prices are exclusive of VAT, which is charged where applicable. We reserve the right to amend prices with reasonable notice.

Payment terms

Unless otherwise agreed in writing, payment is required in full before dispatch of goods. Any agreed credit terms will be confirmed in writing and are subject to status.

Delivery and risk

Delivery timescales for trade orders will be confirmed at the point of order. Risk passes to the buyer on delivery. Title to the goods remains with SBMJ Limited until payment has been received in full.

Returns (trade)

The consumer right to cancel does not apply to trade orders. Trade returns are accepted only for faulty or incorrect goods, or by prior written agreement. Faulty goods will be replaced or credited.

Resale

Trade customers purchasing for resale agree to represent the products accurately and to maintain the brand's presentation. Any recommended retail pricing is guidance only and not binding.

Governing law

These terms are governed by the laws of England and Wales, and any disputes will be subject to the jurisdiction of the courts of England and Wales.
